The Fund is currently investigating discussing with management of the Issuer the possibility of reducing the size of the Board of Directors of the Issuer and decreasing the compensation paid to the current management of the Issuer in an effort to conserve the assets of the Issuer. The Fund will seek to have Steven N. Bronson appointed to the Board of Directors of the Issuer in an effort to achieve the plan set forth in the preceding sentence. The Fund seeks to obtain the consent of the Board of Directors of the Issuer with respect to its plan and has no present intention on taking any action without the consent of the Board of Directors of the Issuer. In the event that the Fund's intentions change, the Fund will, among other things, timely file an appropriate amendment to this Schedule 13D.
