Stay Foreign Through US Domestic Shell -or- Become Wholly Owned Subsidiary of US Shell.

We are a small but growing Tokyo based specialty food import and sales company (majority owned by US nationals).

We are planning to list on the pink sheets or otcbb through reverse merger with shell or list directly on the pink sheets from scratch. A physicial presence will be established in the US and EU, however the headquarters will remain in Japan for the foreseeable future.

At this point of planning, we are not sure whether to:

a.) Make the acquired shell a subsidiary of our Japan based company

b.) Make the Japan company a wholly owned subsidiary of the US shell.

-or-

c.) Forgo a reverse merger and go public directly on the pink sheets as a foreign issuer.

Any input from experienced or otherwise knowledgeable individuals would be appreciated.
